Corporate Counsel

We are currently seeking a lawyer to provide in-house legal counsel to support all aspects of the business.

What you will do

  • Provide proactive, pragmatic legal counsel across the company.  Reporting into the VP, Legal and Corporate Strategy and working in collaboration with external legal counsel as required, you will work in partnership with other operational stakeholders both locally and across the globe to support and drive various initiatives to completion in a manner that also ensures compliance.  You will advise on an array of legal matters including but not limited to transactions, commercial agreements, regulatory and compliance affairs. 
  • Act as a trusted legal advisor.   As an expert in your field, you’ll be depended upon for your expertise and counsel concerning strategy, legal risks and opportunities, policies and practices.  The VP, Legal and Corporate Strategy will rely on you to prepare and review commercial agreements including partner and vendor agreements, supply contracts, licensing deals, employment and contractor agreements, among others.  
  • Support business transactions.  Working in alignment with relevant stakeholders, you will play a key role in all phases of business transactions, from their structure, through to their execution and everything in between. 
  • Maintain company records. You’ll play an integral key role in the management and maintenance of critical company records.
  • Corporate Risk Management.  You are always proactively identifying and evaluating areas that open the company up to risk, particularly as an employer.  It will be incumbent upon you to ensure there are sufficient measures, systems and corporate policies in place to meet any pertinent legal and regulatory requirements, while also maintaining focus on optimizing the efficacy of the legal function.

Your curiosity about the industry allows you to remain current with the regulatory framework, enabling you to counsel the business accordingly.

Requirements: 

  • Licensed to practice law in Canada, with experience in corporate and commercial law preferred.

Project Manager / Executive Assistant

We are currently seeking an Executive Assistant/Project Manager to join our team to help organize the business operations. You will be a master of organization, anticipating the needs of the business as well as the CEO and President in order to make their life easier.

What you will do

  • Coordinate company wide initiatives; Reporting to the CEO, you will support the growth of Materia through leveraging your project management capabilities. You understand and are able to manage the ongoing initiatives and timelines created by the various stakeholders. It is critical that in this role, you are able to coordinate and compile information, and act as the hub to ensure that everyone is on the same page and working together to drive things forward. You will be responsible for supporting the broader team with ad-hoc projects, such as applications for provincial licenses, KYC requests that occur from time to time, bookkeeping reconciliation, building presentations, agendas, organizing and tracking progress on miscellaneous projects.
  • Turn meeting wish lists into organized and coherent plans. It will be your responsibility to sit-in on calls and meetings with the team and their various stakeholders. Acting as a note-keeper, organizer, and master of execution, you make it possible for the existing projects to be organized and brought to reality. You will need to follow-up with the team constantly to check on the status of the plan and adjust accordingly. As the backbone of any project that the team has going on at Materia, you will help keep others accountable for their commitments, making sure that nothing slips through the cracks.
  • Create organizational systems and processes; working with the existing Materia team and other stakeholders, you will be counted on to build and improve upon operational systems and processes in order to ensure the business is operating efficiently. The executives will look to your expertise in organizational efficiency to help Materia reach their goals. You will work towards standardizing and documenting all operational procedures.You will need to maintain a holistic view of the organization while working cross-functionally with teams to drive achievement of our KPIs. This means constantly having to triage ever-changing priorities as the company continues to grow.
  • Manage the day to day operations at the office. You will be the go-to person for all things related to the Materia headquarters in Toronto. You will be responsible for ordering all office supplies, team lunches, managing any vendors related to the office building and ensuring that all office related invoices get processed. You will be responsible for maintaining records/files, tracking software and related costs, managing and organizing the companies Shared Drives and keeping track of all technology in the organization. You will also help support the Manager, People & Culture with social events.
  • Manage schedules and calendars for the President and CEO. Located across different continents, you will be responsible for coordinating the President and CEO calendars, meetings and schedules. You will need to think 10 steps ahead and ensure that their schedules are thoughtful and considerate of their time. You will be responsible for flagging any calendar conflicts that the CEO & President might have. You will be required to be available to triage communications internal or external over the weekends and at nights while taking action if required.

You’ll need to leverage our existing tools (Monday.com) to their fullest, understanding the implications of technology when implementing initiatives.
